Terms of Service
Effective date: 09 September 2026
These Terms of Service (the "Terms") are a legal agreement between you and IDZ LTD, a company incorporated in England and Wales under company number 10737703, with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX ("IDZ", "we", "us" or "our"). These Terms govern your access to and use of the IDZ website, web application, mobile and desktop applications, and the services made available through them, including ZCloud, ZChat and MetaCortex (together, the "Platform" or the "Services"). They also include the end user licence for our applications and govern subscriptions, in-app purchases and other paid features. Enterprise services are governed by a separate written agreement with IDZ and are not covered by these Terms unless that agreement expressly incorporates them. By accessing or using the Platform, creating an IDZ Account, starting a Subscription, purchasing a paid feature, or otherwise accepting these Terms, you agree to be bound by them and by the IDZ Privacy Policy. If you do not agree, do not access or use the Platform.
Important information
- IDZ uses a self-custodial, zero-knowledge design. You are responsible for protecting your Master Key and recovery material; IDZ may be unable to restore encrypted data if they are lost.
- Paid Subscriptions renew automatically until cancelled. The price, billing period, renewal terms and any promotion are shown before purchase.
- MetaCortex Boost uses external computing. Where files or chats are included, the App is designed to show the sanitised data proposed for sharing and obtain consent according to your settings.
- AI outputs may be inaccurate. Citations and signed receipts show sources and processing details, but do not guarantee that an answer is correct.
1. DEFINITIONS
- 1.1 "Account" means your IDZ account, identified by your Z.ID and protected by your authentication credentials and encryption keys.
- 1.2 "Apps" means the IDZ mobile and desktop software applications, including versions distributed through an app store or directly by IDZ.
- 1.3 "Boost" means MetaCortex processing that uses remote computing infrastructure and an approved cloud model. Boost may also use web-assisted queries where requested, selected or approved.
- 1.4 "Private Mode" means MetaCortex processing performed locally on a supported device using a downloaded local model.
- 1.5 "Plan" means a Free, Pro or Teams plan, including any recurring add-on or other entitlement displayed on the Platform or at checkout.
- 1.6 "Subscription" means an auto-renewing paid Plan purchased through IDZ, Apple or another authorised payment channel.
- 1.7 "User Content" means files, folders, chats, messages, prompts, notes, artifacts, images, documents and other material that you upload, create, send, store, share or process through the Services.
- 1.8 "Website" means idz.com and any IDZ-operated website, web page or web application that links to these Terms.
2. ELIGIBILITY, ACCEPTANCE AND AUTHORITY
- 2.1 You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering into these Terms. The Platform is not directed to children.
- 2.2 If you use the Platform on behalf of a company or other organisation, you represent that you have authority to bind that organisation. In that case, "you" includes the organisation.
- 2.3 You are responsible for ensuring that your use of the Platform is lawful in the country or region where you use it.
3. ACCOUNTS, CREDENTIALS AND RECOVERY
- 3.1 You must provide any information required by the relevant sign-up or payment flow accurately and keep it up to date. You may not create or use an Account for another person without authority.
- 3.2 IDZ uses a self-custodial, zero-knowledge account model. You are responsible for safeguarding your Z.ID, Master Key, Login Token, recovery information, device credentials and any other authentication material.
- 3.3 IDZ does not hold the private encryption keys required to decrypt your encrypted User Content and cannot recover a lost Master Key or restore access to encrypted data if all valid recovery methods are lost.
- 3.4 Optional email or telephone aliases may help other users find you, but they are not account-recovery methods unless the Platform expressly states otherwise.
- 3.5 You must promptly secure your Account if you suspect unauthorised access. You are responsible for activity carried out through your Account except to the extent caused by IDZ or where applicable law provides otherwise.
4. ACCESS TO THE PLATFORM AND APP LICENCE
- 4.1 Subject to these Terms, IDZ grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Website and Services for lawful purposes.
- 4.2 The Apps are licensed, not sold. IDZ grants you a limited licence to install and use the Apps on devices that you own or control, subject to these Terms and any applicable app-store usage rules.
- 4.3 You may not, except where applicable law expressly permits it:
- (a) copy, distribute, rent, lease, sell, sublicense or commercially exploit the Platform;
- (b) reverse engineer, decompile, disassemble, attempt to derive source code from, modify or create derivative works of the Apps or Services;
- (c) bypass access controls, usage limits, subscription checks, safety systems, encryption or other technical restrictions;
- (d) systematically scrape, crawl or extract content, outputs, model behaviour or non-public technical information to build, train, benchmark or improve a competing service; or
- (e) remove or alter proprietary notices.
- 4.4 Open-source components remain subject to their applicable licences. Where an open-source licence grants additional rights, those rights are not restricted by these Terms.
5. THE IDZ SERVICES
- 5.1 ZCloud provides encrypted file storage, synchronisation, search and sharing features.
- 5.2 ZChat provides encrypted private and group messaging and file sharing between IDZ users.
- 5.3 MetaCortex provides AI-assisted search, summarisation, comparison, extraction, redaction, artifact generation and related actions across supported User Content.
- 5.4 Features, supported file formats, model availability, platform availability and technical limits may vary by device, operating system, country, Plan and distribution channel.
- 5.5 Some features require an internet connection. Private Mode may work locally after the required local model and supporting components have been downloaded, but synchronisation, source access and certain actions may still require connectivity.
- 5.6 Descriptions, documentation, FAQs, availability statements and pricing on the Website are provided to explain the Services. The features and prices that apply to a purchase are those shown at checkout, subject to these Terms and mandatory law.
6. PLANS AND FEATURE ENTITLEMENTS
- 6.1 The Free Plan provides limited allocations of storage, transfers, sharing, MetaCortex usage, memory and other features as displayed on the Platform.
- 6.2 The Pro Plan provides increased or unlimited access to specified personal features, which may include additional storage, higher transfer and sharing limits, increased MetaCortex usage, longer memory, receipt export and advanced sharing controls.
- 6.3 The Teams Plan provides paid seats for multiple users and may include per-user or pooled entitlements, team administration, roles, permissions, audit logs, corporate billing and other team features. A Team administrator may invite or remove users and control features available to Team members.
- 6.4 The exact features, quotas, limits and prices applying to a Plan are those displayed at purchase or renewal. Plans and purchase options may differ between the Website, an app store and a directly distributed App.
- 6.5 IDZ may change Plan features or limits for future billing periods. If a change materially disadvantages a paid consumer, IDZ will provide reasonable notice where required and the consumer may cancel before the change takes effect at renewal.
7. SUBSCRIPTIONS, BILLING AND AUTO-RENEWAL
- 7.1 Paid Subscriptions renew automatically for the selected monthly or annual period until cancelled. The renewal frequency, price and any introductory period are shown before purchase.
- 7.2 If you purchase directly from IDZ through the Website or a directly distributed App, payment may be processed by Stripe or another authorised payment provider. The checkout terms and payment method selected at purchase apply.
- 7.3 If you purchase through Apple or another app store, that store processes the payment, determines and displays the localised price, currency and applicable tax, and may control cancellation, refund and entitlement records. IDZ does not receive your full payment-card details from the app store.
- 7.4 Prices may vary by country, currency, tax treatment, platform and storefront. The price displayed immediately before confirmation is the price you agree to pay.
- 7.5 You are responsible for applicable taxes unless IDZ or the payment provider is required to collect them.
- 7.6 IDZ may suspend paid features if payment fails, is reversed, charged back or refunded, subject to applicable law and any grace period provided by the payment provider.
- 7.7 Where IDZ changes a recurring price, the new price will apply from a future renewal after any notice required by law or the payment platform. You may cancel before that renewal.
- 7.8 An app-store Subscription may be linked to only one IDZ Account at a time, subject to any restore or account-linking rules shown in the App.
8. PROMOTIONS, INTRODUCTORY OFFERS, ADD-ONS AND TOP-UPS
- 8.1 IDZ or a payment platform may offer introductory, promotional or discounted pricing. Each offer is subject to the eligibility criteria, start date, end date, territory, duration, renewal price and other terms displayed at purchase.
- 8.2 An introductory annual offer applies only to the eligible first annual term stated at checkout. Unless cancelled, the Subscription renews afterward at the standard renewal price then displayed by the relevant payment platform.
- 8.3 An app store may determine eligibility for its introductory offers, including whether a user has previously received an offer within the applicable subscription group. IDZ cannot override the store’s eligibility decision.
- 8.4 Where offered, recurring Boost add-ons renew with the related Subscription. Their allowance resets each billing period and unused recurring allowance does not roll over unless expressly stated otherwise.
- 8.5 Where offered, one-time Boost top-ups are tied to the purchasing Account, are non-transferable, have no cash value and do not expire while the Account remains active and the relevant Service remains available, except where refunded, charged back, cancelled by law or otherwise stated at purchase.
- 8.6 Promotional benefits, top-ups and add-ons may not be available on every platform or storefront.
9. CANCELLATION, CONSUMER WITHDRAWAL, REFUNDS AND DOWNGRADES
- 9.1 Cancelling a Subscription stops future renewal. Unless a refund or immediate revocation applies, paid access continues until the end of the already-paid billing period.
- 9.2 A direct IDZ Subscription may be cancelled through the account or billing settings made available to you, or by contacting IDZ. An app-store Subscription must normally be cancelled through the relevant store account settings.
- 9.3 If you are a consumer who purchases directly from IDZ online, you may have a statutory right to cancel within 14 days after the contract is entered into. To exercise that right, use the available cancellation process or contact IDZ with a clear cancellation request.
- 9.4 If you ask IDZ to begin supplying a paid service during a statutory cancellation period, you expressly request immediate performance and may be required to pay a proportionate amount for services supplied before cancellation. Where applicable law permits and a purchase includes digital content supplied immediately, you may be asked to consent to immediate supply and acknowledge that the cancellation right may be lost once supply begins.
- 9.5 Refund requests for app-store purchases are reviewed and processed by the relevant app store under its rules and applicable law. If the store grants a refund or revokes a transaction, IDZ may remove or adjust the related entitlement after validating the current purchase status.
- 9.6 For direct purchases, refunds are governed by these Terms, the information shown at checkout and applicable consumer law. Except where required by law or expressly stated, payments are non-refundable and no credit is provided for unused time in a billing period.
- 9.7 When a paid Subscription expires, is refunded or is not renewed, the Account may revert to the Free Plan. If usage exceeds Free Plan limits, IDZ may restrict uploads, modifications, new public links, paid AI features or other mutative actions until usage is reduced or a paid Plan is restored. IDZ will not intentionally prevent access to or download of existing User Content solely because a Subscription ended, subject to security, legal and technical restrictions.
10. METACORTEX PROCESSING MODES
- 10.1 Boost is the recommended default mode on supported platforms. It uses remote computing to provide more capable processing and may offer different model options depending on your Plan and settings.
- 10.2 Private Mode is available only on supported desktop devices that meet IDZ hardware, memory, operating-system and storage requirements. It requires a compatible local model to be downloaded and activated on that device.
- 10.3 MetaCortex will not silently change a Private Mode request to Boost. If external processing is required, the App will request permission in accordance with your settings and any applicable Team policy.
- 10.4 You may be able to select a default mode, Boost model, local model and consent preference. Some choices may be unavailable because of device capability, Plan, quota, safety controls or Team policy.
11. BOOST, SANITISATION AND EXTERNAL PROCESSING
- 11.1 When Boost needs context from files, chats or other User Content, the Platform is designed to extract relevant text, detect specified sensitive information and replace detected details with placeholders before external processing.
- 11.2 Where the interface requires consent, the Platform will show a summary or preview of the sanitised prompt and relevant context before it is sent. Depending on your preference, you may approve a request once or for the current thread. IDZ may ask again if the sources or shared data change materially.
- 11.3 Sanitisation reduces disclosure risk but is not guaranteed to identify or remove every personal, confidential or sensitive detail. You are responsible for reviewing the preview and deciding whether to approve external processing.
- 11.4 By approving Boost, you instruct and authorise IDZ to transmit the approved sanitised prompt and context through IDZ-controlled services to approved cloud infrastructure and model providers used to generate the response. The categories of providers currently used are identified in the Privacy Policy or an in-product notice.
- 11.5 Boost processing may occur in a country or region different from your own, subject to the safeguards described in the Privacy Policy and applicable data-protection law.
- 11.6 IDZ does not claim ownership of content submitted to Boost and does not use User Content to train a general-purpose IDZ model. Provider handling, retention and training restrictions are described in the Privacy Policy and any applicable provider terms.
- 11.7 The exact model or provider may change for performance, availability, safety, legal or product reasons. Receipts may identify the mode, model, provider, sources, actions and external processing used for a result.
12. WEB-ASSISTED QUERIES
- 12.1 MetaCortex may use live web search when you request current external information or when web assistance is selected or approved.
- 12.2 A sanitised search query and necessary technical data may be sent through IDZ-controlled services to approved model and search providers identified in the Privacy Policy or an in-product notice.
- 12.3 Web results are third-party content. IDZ does not control, endorse or guarantee the accuracy, legality, availability or security of external websites or their content.
- 12.4 A result using web assistance is not a purely local Private Mode result, even if some processing or final synthesis occurs on-device.
13. PRIVATE MODE AND LOCAL MODELS
- 13.1 Private Mode processes requests locally using a model stored on the device. Supported model families and sizes are displayed in the App and may change.
- 13.2 Local models may require several gigabytes of storage, substantial memory, processing power and battery use, and may cause heat, reduced performance or increased energy consumption.
- 13.3 IDZ may recommend a model based on device capability. You may select another supported downloaded model, but results, speed and stability may differ.
- 13.4 Switching from Private Mode to Boost does not delete a downloaded local model. A model should need to be downloaded again only if it was removed, corrupted, incompatible or replaced by a required update.
- 13.5 IDZ does not guarantee that Private Mode will be available on every device or that a model that currently works will remain compatible after operating-system, hardware or model updates.
14. INDEXING, SEARCH AND MEMORY
- 14.1 To provide encrypted search and MetaCortex retrieval, the Platform may create client-side indexes and text chunks from supported files and chats. Those indexes are stored encrypted as described in the Privacy Policy.
- 14.2 Not all formats can be content-indexed. Legacy Office formats, scanned documents, images, audio, video, archives and other unsupported formats may be limited to filename or metadata search unless OCR, transcription or another supported extraction feature is available.
- 14.3 MetaCortex memory, if enabled, may retain selected useful details across sessions for the period you choose or that your Plan permits. Memory is separate from chat history.
- 14.4 Where available, you can turn memory off and view, add, edit, delete or exclude memories or sources. Turning memory off does not automatically delete existing memories unless you choose to clear them.
15. AI OUTPUTS, CITATIONS AND RECEIPTS
- 15.1 AI-generated outputs are probabilistic and may be incomplete, inaccurate, outdated, misleading or unsuitable for your purpose. MetaCortex may fail to locate relevant information or may produce incorrect statements even where citations are shown.
- 15.2 You must independently review and verify outputs before relying on them, sharing them or using them to make decisions.
- 15.3 MetaCortex is not a substitute for professional legal, financial, medical, tax, accounting, compliance or other expert advice. You must not rely on it as the sole basis for a high-impact or safety-critical decision.
- 15.4 A citation or source card indicates content used or referenced; it does not guarantee that the interpretation or conclusion is correct.
- 15.5 A signed or verified receipt records selected information about how a result was produced. It provides provenance and auditability, not a warranty of factual correctness, legality or fitness for purpose.
- 15.6 You remain responsible for actions taken using MetaCortex, including files created, redactions applied, data extracted, messages sent, links shared and artifacts distributed.
16. USER CONTENT, SHARING AND PERMISSIONS
- 16.1 You retain ownership of your User Content.
- 16.2 You grant IDZ a limited, non-exclusive licence to host encrypted User Content and perform the technical operations necessary to provide the Services, including storage, synchronisation, encrypted indexing, sharing, delivery and, where you request or approve it, AI processing.
- 16.3 You represent that you have the rights, permissions and lawful bases necessary to upload, store, process and share User Content, including personal data or confidential information belonging to others.
- 16.4 You must not upload or process content that is unlawful, infringes intellectual-property or privacy rights, contains malware, or that you are not authorised to use.
- 16.5 When sharing User Content, you are responsible for selecting the recipient and permissions. A view-only control prevents ordinary saving, exporting or re-sharing through the Platform where supported, but cannot guarantee that a recipient will not capture or reproduce displayed information by other means.
17. TEAMS ACCOUNTS
- 17.1 If you use a Teams Plan, the organisation or person paying for and administering the Team may manage seats, invitations, membership, roles, feature permissions, usage limits and billing.
- 17.2 Team administrators may access account, membership, role, usage, receipt, audit and billing information made available by Team features. A Team administrator does not receive access to encrypted file or chat content solely by being an administrator unless that content is separately shared with them or another disclosed feature permits access.
- 17.3 If you are removed from a Team, Team-paid entitlements may end immediately or at the time shown in the Platform. Access to shared Team content depends on the applicable sharing permissions and technical design.
- 17.4 Teams are intended for authorised organisational use. The organisation is responsible for its internal policies, user notices, permissions and lawful use of the Services.
18. PRIVACY, ENCRYPTION AND SECURITY
- 18.1 IDZ's handling of personal data and technical information is described in the Privacy Policy, which should be read together with these Terms.
- 18.2 ZCloud files and ZChat messages are designed to be encrypted before leaving the device and stored in encrypted form. Except for content expressly approved for Boost or another external action, IDZ does not hold the private keys required to read encrypted User Content.
- 18.3 IDZ may process limited account, subscription, entitlement, device, security, fraud-prevention, support and operational information where necessary to provide, secure and support the Services, as described in the Privacy Policy.
- 18.4 IDZ does not sell User Content or use it for targeted advertising. The Platform is intended to remain ad-free.
- 18.5 No system is completely secure. You must maintain device security, install updates, protect credentials and use appropriate access controls.
- 18.6 If you contact IDZ for support, you authorise IDZ to process the information you provide for that purpose. Do not send Master Keys, passwords or unredacted confidential content to support.
19. ACCEPTABLE USE
- 19.1 You must not use the Platform to:
- (a) violate any law, regulation, court order or contractual duty;
- (b) infringe, misappropriate or violate intellectual-property, privacy, confidentiality, publicity or other rights;
- (c) harass, abuse, threaten, stalk, defame, exploit or harm another person;
- (d) distribute malware, malicious code, spam, fraudulent content or unlawful material;
- (e) gain or attempt to gain unauthorised access to any account, device, system or network;
- (f) interfere with, overload, test, probe or circumvent the security, availability, quotas or operation of the Platform without written permission;
- (g) impersonate another person or misrepresent your identity or authority;
- (h) generate or facilitate content or conduct prohibited by an applicable model provider or external service; or
- (i) use the Services for the development, design, manufacture or production of prohibited weapons or other unlawful high-risk purposes.
- 19.2 IDZ may suspend or restrict access where reasonably necessary to protect users, investigate suspected abuse, comply with law or enforce these Terms. Because IDZ cannot ordinarily read encrypted User Content, enforcement may rely on reports, available technical information and content voluntarily disclosed to IDZ.
20. EXTERNAL SERVICES AND THIRD-PARTY TERMS
- 20.1 The Platform may interact with app stores, payment processors, cloud hosting providers, AI model providers, web-search providers, operating-system services, external websites and other third-party services ("External Services").
- 20.2 Your use of External Services may be subject to separate third-party terms and privacy policies. You must comply with applicable third-party terms, including app-store terms, internet or wireless-service agreements and the acceptable-use terms of any model or search provider used through the Platform.
- 20.3 External Services may be unavailable, changed, restricted or withdrawn outside IDZ's control. IDZ is not responsible for examining, endorsing or guaranteeing third-party content, services or websites.
21. INTELLECTUAL PROPERTY AND FEEDBACK
- 21.1 IDZ and its licensors own all rights in the Platform, software, models supplied by IDZ, interfaces, designs, documentation, trademarks and other IDZ materials, excluding User Content and third-party components.
- 21.2 No rights are granted except those expressly stated in these Terms.
- 21.3 If you provide feedback or suggestions, you grant IDZ a worldwide, perpetual, irrevocable and royalty-free right to use them without restriction or compensation, provided that IDZ does not publicly identify you without permission.
22. UPDATES, MAINTENANCE AND SUPPORT
- 22.1 IDZ may provide updates, patches, model changes, feature changes or security fixes. Some updates may be required for continued use of the Platform.
- 22.2 IDZ is responsible for support for the Services as required by law or described on the Platform. App stores have no obligation to provide maintenance or support unless their terms state otherwise.
- 22.3 Support enquiries may be sent to [email protected]. Response times are not guaranteed unless a separate written service agreement applies.
23. SERVICE AVAILABILITY AND CHANGES
- 23.1 IDZ may modify, suspend, restrict, replace or discontinue all or part of the Platform, models, quotas or Plans for operational, security, legal, commercial or technical reasons.
- 23.2 IDZ will use reasonable efforts to provide notice of material changes where practicable or required by law. Emergency security or legal changes may be made without advance notice.
- 23.3 IDZ does not promise uninterrupted or error-free operation, or that every device, file format, model or External Service will remain supported. This does not reduce any statutory rights that cannot lawfully be limited.
24. SUSPENSION, TERMINATION AND ACCOUNT DELETION
- 24.1 You may stop using the Platform at any time. Cancelling a Subscription does not automatically delete your Account or User Content; account and data deletion require the separate process provided on the Platform.
- 24.2 IDZ may suspend or terminate access if you materially breach these Terms, fail to pay applicable fees, create a serious security or legal risk, or use the Services unlawfully. Where appropriate and lawful, IDZ will give notice and a reasonable opportunity to remedy the breach, unless urgent action is required.
- 24.3 Upon termination, your licence and right to use the Platform end. Provisions that by their nature should survive remain effective, including ownership, accrued payment obligations, acceptable-use enforcement, disclaimers and limitations of liability.
- 24.4 Free Accounts inactive for 365 consecutive days may be permanently deleted in accordance with the Privacy Policy and any notice provided on the Platform. Deleted encrypted data cannot be recovered.
25. WARRANTIES AND CONSUMER RIGHTS
- 25.1 Nothing in these Terms excludes or limits any warranty, remedy or statutory right that cannot lawfully be excluded or limited. If you are a consumer, the Services and digital content are supplied subject to the rights that apply in your country, including any rights relating to reasonable care and skill, satisfactory quality, fitness for purpose and conformity with description.
- 25.2 Software, encryption, AI models and third-party services are complex and may contain errors or experience interruptions. Subject to Section 25.1, IDZ does not guarantee that the Platform will always be available, uninterrupted, secure, accurate or suitable for every purpose.
- 25.3 Any estimates, examples or general information on the Website are not professional advice and should not be relied upon as such.
26. LIMITATION OF LIABILITY
- 26.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct, or any liability that cannot be limited by law.
- 26.2 If you are a consumer, IDZ is responsible for loss or damage that is a foreseeable result of IDZ breaching these Terms or failing to use reasonable care and skill, but not for loss or damage that is not foreseeable. IDZ does not exclude liability where doing so would breach mandatory consumer law.
- 26.3 If you use the Platform for business purposes, to the maximum extent permitted by law:
- (a) IDZ is not liable for loss of profit, revenue, business, anticipated savings, goodwill, opportunity, or any indirect or consequential loss; and
- (b) IDZ's total aggregate liability arising out of or relating to the affected Services in any 12-month period is limited to the greater of £100 and the fees paid or payable by you for those Services during that period.
- 26.4 IDZ is not responsible for loss caused by your loss of encryption keys, failure to maintain appropriate backups, unauthorised sharing, reliance on AI output without appropriate review, third-party services or circumstances beyond IDZ's reasonable control, except to the extent caused by IDZ's breach of a non-excludable legal duty.
27. EXPORT, SANCTIONS AND LEGAL COMPLIANCE
- 27.1 You may not use, export or re-export the Apps or Services except as authorised by applicable laws, including export-control and sanctions laws and the laws of the jurisdiction where the Platform is accessed.
- 27.2 You represent that you are not prohibited from receiving or using the Platform under applicable sanctions or restricted-party laws.
28. APP-STORE AND PLATFORM-SPECIFIC TERMS
- 28.1 If you obtained an App from Apple, you and IDZ acknowledge that these Terms are concluded between you and IDZ only, not Apple. IDZ, not Apple, is responsible for the App and its content.
- 28.2 For an Apple-distributed App, the licence is limited to use on Apple-branded products that you own or control and as permitted by the Apple Media Services Usage Rules, except where Apple permits access through Family Sharing, volume purchasing or other authorised features.
- 28.3 Apple has no obligation to provide maintenance or support for the App.
- 28.4 If the Apple-distributed App fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, paid for the App. To the maximum extent permitted by law, Apple has no other warranty obligation regarding the App.
- 28.5 IDZ, not Apple, is responsible for product claims, regulatory claims, consumer-protection claims and intellectual-property claims relating to the App, subject to these Terms and applicable law.
- 28.6 You must comply with applicable third-party terms when using an App, including the Apple Media Services Terms and your internet or wireless-data-service agreement.
- 28.7 Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.
- 28.8 Other app stores or distribution platforms may impose supplemental terms. Those terms apply only to the extent required for use of that store or platform. If a mandatory platform term conflicts with these Terms, it prevails only to the extent of that conflict.
29. GOVERNING LAW AND DISPUTES
- 29.1 These Terms are governed by the laws of England and Wales, without prejudice to any mandatory consumer-protection rights you have under the laws of your country of residence.
- 29.2 The courts of England and Wales have jurisdiction, except that if you are a consumer you may bring proceedings in any court available to you under applicable mandatory law.
- 29.3 Before starting formal proceedings, you are encouraged to contact IDZ so that the issue can be considered and, where possible, resolved.
- 29.4 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
30. CHANGES TO THESE TERMS
- 30.1 IDZ may update these Terms to reflect changes in the Platform, Plans, payment arrangements, law, security or business practices.
- 30.2 Where required by law, IDZ will provide notice and obtain consent before material changes take effect. Otherwise, the updated version applies from its stated effective date. If a material change adversely affects a paid consumer during a current billing period, any rights to cancel or obtain a remedy under applicable law remain unaffected.
31. GENERAL
- 31.1 If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- 31.2 A failure to enforce a provision is not a waiver.
- 31.3 You may not assign these Terms without IDZ's written consent. IDZ may assign them as part of a merger, reorganisation, sale of business or transfer of the Services, subject to applicable law.
- 31.4 These Terms, the Privacy Policy and any purchase-specific terms shown at checkout form the entire agreement concerning the Platform and Services, except where a separate written agreement applies. If a separate written agreement expressly conflicts with these Terms, the separate agreement prevails for its subject matter.
- 31.5 Notices may be provided through the Platform, the Website, an app store, a payment provider or contact details you have supplied, as appropriate.
